If formation is in the US, taxes and accounting would be simpler as
S-corp or LLC structure rather than C corp. 

Also, it may be easier to convert from an LLC to a non profit. I seem to
recall that once structured into a C corp it's expensive to
restructure. 

My "sense" should be checked with a lawyer, so maybe I'm just
contributing to a list of questions that we should compile for a lawyer
